dc.description.abstractA tanulmány a felügyelő bizottság szerepét és tagjainak felelősségét vizsgálja az 1875. évi Kereskedelmi Törvény, valamint a hatályos magyar társasági jog tükrében. Bemutatja a történeti szabályozás alapelveit, különös tekintettel az ellenőrzési funkcióra, az információs jogokra és az egyetemleges felelősségre. A dolgozat összehasonlító elemzést nyújt a német–osztrák jogi modellekkel, valamint feltárja a modern corporate governance rendszerben betöltött szerepet. Részletesen elemzi a hatályos Polgári Törvénykönyv rendelkezéseit és a releváns bírói gyakorlatot. Következtetése szerint a felügyelő bizottság a társasági jogi egyensúly és a tulajdonosi kontroll egyik kulcsintézménye.hu
dc.description.abstract The study examines the role and liability of supervisory board members under the Hungarian Commercial Code of 1875 and the current company law framework. It outlines the fundamental principles of the historical regulation, with particular emphasis on supervisory functions, information rights, and joint liability. The paper provides a comparative analysis with German and Austrian legal models and explores the position of the supervisory board within modern corporate governance. It also offers a detailed assessment of the relevant provisions of the Hungarian Civil Code and case law. The study concludes that the supervisory board serves as a key institutional safeguard ensuring corporate balance and shareholder control.en
